Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Educacion Global Inc., a Delaware corporation ("Company", "we", "us", or "our"), operating as OK Vault, regarding your use of the OK Vault mobile application ("App", "Service", "Software").

By downloading, installing, accessing, or using OK Vault in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the App and uninstall it from all devices.

YOU ACKNOWLEDGE THAT THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE, CLASS ACTION WAIVER, AND LIMITATIONS ON LIABILITY THAT AFFECT YOUR LEGAL RIGHTS.

2. Description of Service

OK Vault is a local-only, zero-network password manager application that provides:

• Encrypted storage of passwords, credentials, and secure notes
• AES-256-GCM encryption with PBKDF2-HMAC-SHA256 key derivation
• Biometric authentication via Face ID and Touch ID
• Local encrypted backup and restore functionality
• Screenshot and screen recording protection
• Auto-lock and optional wipe-on-failure security features

3. User Responsibilities

3.1 Master Password

You are solely responsible for:

• Creating and maintaining a strong master password
• Keeping your master password confidential and secure
• All activities that occur under your master password
• Remembering your master password (we cannot recover it)

3.2 Backups

You are solely responsible for:

• Creating regular encrypted backups of your vault
• Securely storing backup files
• Remembering backup passwords
• Testing backup restoration procedures

We are not responsible for data loss resulting from failure to maintain backups.

3.3 Device Security

You agree to:

• Keep your device physically secure
• Use a strong device passcode
• Keep your operating system and OK Vault updated
• Not jailbreak or root your device (may compromise security)

3.4 Prohibited Uses

You agree NOT to:

• Use OK Vault for any illegal purpose or in violation of any local, state, national, or international law
• Store credentials obtained through unauthorized access, hacking, or any illegal means
• Reverse engineer, decompile, disassemble, modify, or create derivative works of the app (except as permitted by law)
• Attempt to circumvent, disable, or interfere with security features
• Share your master password with others or allow unauthorized access to your vault
• Use the app to store information that violates any law, regulation, or third-party rights
• Remove, obscure, or alter any proprietary rights notices in the App
• Use the App in any manner that could damage, disable, overburden, or impair the App
• Use automated means (bots, scripts, etc.) to access the App in unauthorized ways
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the App available to any third party
• Use the App for any commercial purpose without our express written permission
• Store illegal content, content that infringes intellectual property rights, or content that violates export control laws

Violation of these prohibited uses may result in immediate termination of your license to use the App, and we reserve the right to pursue all available legal remedies.

4. Limitations of Liability

4.1 No Warranty

OK VAULT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

4.2 Data Loss

We are not liable for any data loss resulting from:

• Forgotten master passwords
• Lost or corrupted backup files
• Device failure, theft, or damage
• Software bugs or errors
• User error or misuse
• Wipe-on-failure activation (intentional or accidental)
• Operating system updates or incompatibilities

4.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EDUCACION GLOBAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE COMPANY PARTIES' LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

4.4 Security Disclaimer

While we implement strong encryption and security practices, no system is 100% secure. We do not guarantee that:

• The app is free from bugs, vulnerabilities, errors, or security flaws
• Your data will never be accessed by unauthorized parties if your device is compromised
• The encryption used will never be broken (though it is currently considered unbreakable)
• Device-level security features (Face ID, Touch ID, Secure Enclave) are infallible
• The App will be compatible with all devices, operating systems, or future OS updates
• The App will function without interruption or error
• Any defects will be corrected

YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE APP. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR ANY OTHER HARM RESULTING FROM YOUR USE OF THE APP.

4.5 Third-Party Access and Device Compromise

We are not responsible for security breaches, data theft, or unauthorized access resulting from:

• Device compromise through malware, spyware, or other malicious software
• Physical access to your device by unauthorized parties
• Shoulder surfing or observation of your screen or inputs
• Phishing attacks or social engineering
• Weak device security (no passcode, weak passcode, etc.)
• Jailbroken or rooted devices
• Forensic analysis of your device
• Government or law enforcement access to your device
• Vulnerabilities in the underlying operating system or hardware
• Side-channel attacks, timing attacks, or other sophisticated attack vectors

4.6 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

5. Privacy and Data

5.1 Zero Data Collection

As detailed in our Privacy Policy, we do not collect, transmit, or store any user data on external servers. All data remains on your device.

5.2 No Backup Responsibility

Because we have no servers and collect no data, we cannot:

• Provide cloud backups or sync
• Recover your vault if your device is lost or damaged
• Access your data for any purpose
• Comply with legal requests for your data (we don't have it)

5.3 Analytics and Telemetry

We do not use any analytics, telemetry, crash reporting, or tracking of any kind. We have no idea how you use the app, and that's intentional.

6. Intellectual Property

6.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use OK Vault for personal, non-commercial purposes.

6.2 Open Source

OK Vault is open source software. The source code is available under [LICENSE TYPE] at our GitHub repository. Portions of the app may be subject to separate open source licenses.

6.3 Trademarks

"OK Vault" and related marks, logos, and trade names are trademarks or registered trademarks of Educacion Global Inc. You may not use our trademarks, service marks, trade names, logos, or other proprietary designations without our prior written permission.

6.4 Ownership

The App and all worldwide intellectual property rights therein are the exclusive property of Educacion Global Inc. and its licensors. All rights in and to the App not expressly granted to you in these Terms are reserved by us and our licensors. Nothing in these Terms grants you any right to use our trademarks, service marks, logos, domain names, or other distinctive brand features.

6.5 Feedback

If you provide us with any feedback, suggestions, or ideas about the App ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner and for any purpose, commercial or otherwise, without compensation to you.

7. Third-Party Services

OK Vault does not integrate with any third-party services, SDKs, or APIs. The app operates entirely independently.

If you choose to store backup files using third-party services (iCloud, Dropbox, etc.), those services' terms and privacy policies apply to those backups.

8. Updates and Modifications

8.1 App Updates

We may release updates to OK Vault to add features, fix bugs, or improve security. You are responsible for keeping the app updated. We may discontinue support for older versions without notice.

8.2 Terms Updates

We may modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. Continued use of the app after changes constitutes acceptance of the new Terms.

8.3 No Obligation to Maintain

We are not obligated to maintain, support, or update OK Vault indefinitely. We may discontinue the app at any time.

9. Termination

9.1 Termination by You

You may stop using OK Vault at any time by deleting it from your device. Your data will be deleted when you delete the app.

9.2 Termination by Us

While we don't have accounts to terminate (the app is local-only), we reserve the right to:

• Discontinue the app at any time
• Remove the app from app stores
• Stop providing updates or support

9.3 Effect of Termination

Upon termination, you must stop using OK Vault and delete it from all devices. Sections of these Terms that by their nature should survive termination will survive.

10. Indemnification

You agree to indemnify, defend, and hold harmless Educacion Global Inc., its officers, directors, employees, agents, affiliates, successors, assigns, licensors, and contractors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees, expert fees, and litigation costs) arising from or relating to:

• Your use or misuse of OK Vault
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights
• Data loss or security breaches on your device
• Any content, data, or information you store in the App
• Your negligence or willful misconduct
• Any false, inaccurate, or misleading information you provide
• Your breach of any representation or warranty contained in these Terms
• Any dispute between you and any third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the App.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

11.2 Informal Dispute Resolution

Before initiating arbitration or litigation, you agree to first contact us at vault@ok.gold and attempt to resolve the dispute informally. You must provide a detailed description of the dispute and your desired resolution. We will have 60 days to respond and attempt to resolve the dispute. If we cannot reach a resolution within 60 days, either party may proceed with formal dispute resolution.

11.3 Binding Arbitration

AGREEMENT TO ARBITRATE: You and Educacion Global Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the App, or the relationship between you and us (collectively, "Disputes") will be resolved by binding individual arbitration, except as set forth below. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to limited review by courts.

ARBITRATION RULES: The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules"), as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules.

ARBITRATION LOCATION: If you are a U.S. resident, arbitration will take place in the county where you reside or in New Castle County, Delaware, at your option. If you reside outside the U.S., the arbitration will take place in New Castle County, Delaware.

ARBITRATOR'S DECISION: The arbitrator's decision will be final and binding, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

11.4 Class Action Waiver

YOU AND EDUCACION GLOBAL INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION OR PROCEEDING. Unless both you and we agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative, class, or collective proceeding.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, but the remainder of these Terms shall remain in effect.

11.5 Jury Trial Waiver

YOU AND EDUCACION GLOBAL INC. WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND RECEIVE A JUDGE OR JURY TRIAL. You and we are instead electing to have claims and disputes resolved by arbitration, except as specified in Section 11.6.

11.6 Exceptions to Arbitration

Notwithstanding the above, either party may:

• Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement or misappropriation of intellectual property rights
• Bring claims in small claims court, provided the claims qualify and remain in small claims court
• Seek relief in a court of competent jurisdiction if the arbitration provision is found to be unenforceable

11.7 Venue and Jurisdiction

To the extent that arbitration does not apply, you agree that any judicial proceeding (other than small claims actions) will be brought in and you hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

11.8 Time Limitation on Claims

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the App or these Terms must be filed within ONE (1) YEAR after such claim or cause of action arose or be forever barred.

11.9 Severability

If any part of this Section 11 is found to be illegal or unenforceable, the remainder will remain in effect, except that if a finding of partial illegality or unenforceability would allow class or representative arbitration, this entire Section 11 will be unenforceable in its entirety.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OK Vault regarding the app.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer these Terms. We may assign these Terms without restriction.

12.5 Age Requirement

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use OK Vault. By using the app, you represent that you meet this age requirement.

12.6 Export Compliance

OK Vault uses encryption technology that may be subject to U.S. export control laws, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, and you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.

12.7 U.S. Government Rights

If you are a U.S. government entity or if this Agreement is being entered into for purposes of use by the U.S. government, the App is a "commercial item" as defined in 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. government end users acquire the App with only those rights set forth herein.

12.8 Independent Contractors

Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, or agency relationship between you and Educacion Global Inc. Neither party has the right, power, or authority to create any obligation or duty, express or implied, on behalf of the other.

12.9 Notice

We may provide notices to you via email to the address associated with your App Store account, through the App, or by posting on our website. Notices shall be deemed given 24 hours after email is sent, unless we receive notification that the email address is invalid. You may provide notice to us (such notice shall be deemed given only when received) at: Educacion Global Inc., Attn: Legal Department, vault@ok.gold.

12.10 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12.11 Survival

The following sections shall survive any termination or expiration of these Terms: Sections 3 (User Responsibilities), 4 (Limitations of Liability), 6 (Intellectual Property), 10 (Indemnification), 11 (Dispute Resolution), and 12 (Miscellaneous).

12.12 Language

These Terms were originally prepared in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

12.13 California Residents

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

• Your use of the App does not violate any applicable law or regulation

• You will comply with all terms and conditions of these Terms
• You will not use the App for any unlawful purpose
• Your device and operating system meet the minimum requirements for the App
• You understand and accept the risks associated with password management software
• You understand that we cannot recover your master password or vault data

15. Assumption of Risk

You explicitly acknowledge and assume all risks associated with:

• Forgetting your master password (unrecoverable data loss)
• Device loss, theft, or damage
• Device compromise through malware, hacking, or physical access
• Software bugs, errors, or incompatibilities
• Operating system updates that may affect App functionality
• Wipe-on-failure feature activation (intentional or accidental)
• Backup file loss or corruption
• Encryption vulnerabilities (current or future)
• Any other technical, security, or usability issues

16. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING OK VAULT, YOU ACKNOWLEDGE THAT:

• YOU HAVE READ THESE TERMS IN THEIR ENTIRETY
• YOU UNDERSTAND THESE TERMS
• YOU AGREE TO BE BOUND BY THESE TERMS
• YOU HAVE HAD THE OPPORTUNITY TO SEEK LEGAL COUNSEL
• YOU UNDERSTAND THE BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS
• YOU UNDERSTAND THE LIMITATIONS ON LIABILITY
• YOU UNDERSTAND THAT WE CANNOT RECOVER YOUR MASTER PASSWORD
• YOU ACCEPT ALL RISKS ASSOCIATED WITH USING THE APP
• YOU ARE ENTERING INTO A BINDING LEGAL AGREEMENT WITH EDUCACION GLOBAL INC.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE APP AND UNINSTALL IT FROM ALL DEVICES.
